Scope of Services

Syngent provides a comprehensive suite of IT solutions, including but not limited to:

  • IT Essentials & Managed Services: Remote monitoring, maintenance, and help desk support.
  • Security & Compliance: Cybersecurity threat monitoring, risk assessments, and regulatory guidance.
  • Cloud & Infrastructure: IaaS, PaaS, SaaS, and digital transformation advisory.
  • Business Continuity: Backup and Disaster Recovery (BDR) implementation and testing.
  • Strategic Leadership: vCIO services and IT roadmap development.

Use of Website and Content

Managed Services & Client Responsibilities

For clients engaged in managed service contracts:

  • Access: Clients must provide the necessary administrative access to systems required for Syngent to perform monitoring and maintenance.
  • Onboarding: Successful service delivery is contingent upon the completion of the "Syngent Work Process," including the initial discovery phase and technical implementation.
  • Hardware/Software Requirements: Clients are responsible for maintaining hardware that meets the minimum specifications outlined in their individual Service Level Agreements (SLAs).

Cybersecurity and Data Integrity

While Syngent implements advanced security measures and proactive monitoring:

No Absolute Guarantee: You acknowledge that no security solution is 100% infallible. Syngent's role is to mitigate risk and respond to threats as outlined in your specific security plan.

  • End-User Conduct: Clients are responsible for the actions of their employees, including adherence to password policies and avoiding phishing vulnerabilities.

Limitation of Liability

To the maximum extent permitted by law, Syngent LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising out of the use of our services or website.

Our total liability for any claim shall not exceed the amount paid by the client for the specific service in the twelve (12) months preceding the claim.

Termination

  • By Client: Termination of recurring managed services must follow the notice period specified in your Master Service Agreement (MSA).
  • By Syngent: We reserve the right to suspend or terminate access to services for non-payment or violations of our Acceptable Use Policy.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
